1. ACCEPTANCE OF TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Acceler Edtech Private Limited (“Company”, “Fragnado”, “we”, “us”, or “our”) governing your access to and use of the Fragnado mobile application and website (collectively, the “Platform”).

IMPORTANT: By accessing, browsing, registering for, or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these Terms, you must immediately cease all use of the Platform.

These Terms are published in accordance with the provisions of the Information Technology Act, 2000, the Digital Personal Data Protection Act, 2023, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the Promotion and Regulation of Online Gaming Act, 2025, and the Consumer Protection Act, 2019.

2. PLATFORM STATUS AND NATURE

2.1 What Fragnado Is

Fragnado is an esports tournament registration and information platform designed to:

• Enable users to discover and register for skill-based esports tournaments
• Provide information about esports events, teams, and gaming content
• Display sponsor content and advertisements related to esports and gaming
• Facilitate community engagement through a loyalty rewards program (Tokens)

2.2 What Fragnado Is NOT

CRITICAL DECLARATION: Fragnado explicitly declares that it is 

• NOT an online gaming platform as defined under the Promotion and Regulation of Online Gaming Act, 2025
• NOT engaged in any form of wagering, betting, staking, or gambling
• NOT offering games of chance or any chance-based enrichment opportunities
• NOT facilitating prize distribution based on consideration of money or random chance-based mechanisms
• NOT a payment processor or financial services provider
• NOT subject to the Public Gambling Act, 1867 or state gambling legislation

All tournaments facilitated through Fragnado are based purely on skill, strategy, and competitive gameplay with no element of chance, gambling, or monetary wagering.

3. ELIGIBILITY AND AGE RESTRICTION

3.1 Age Requirement

MANDATORY: The Platform is intended exclusively for individuals who are 18 years of age or older. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

We do NOT permit access, registration, viewing, playing, or usage of any kind by persons under 18 years of age. If you are under 18, you must not access or use the Platform under any circumstances.

3.2 Verification and Enforcement

We reserve the right to request age verification documentation at any time. If we discover or have reasonable grounds to believe that you are under 18 years of age:

• Your account will be immediately suspended without notice
• All personal data will be deleted in accordance with our Privacy Policy
• All Tokens, rewards, and benefits will be forfeited without compensation
• You will be permanently banned from the Platform

3.3 Additional Eligibility Requirements

You must also:

• Be legally permitted to use the Platform under the laws of your jurisdiction
• Not have been previously banned or suspended from the Platform
• Provide accurate and complete registration information
• Comply with all applicable laws and regulations while using the Platform

4. ACCOUNT REGISTRATION AND SECURITY

4.1 Account Creation

To access certain features of the Platform, you must create an account by providing:

• Accurate and complete registration information
• A valid email address and mobile number
• Date of birth for age verification
• Any other information required during the registration process

You agree to: (i) provide true, accurate, current, and complete information; (ii) maintain and promptly update your information to keep it accurate and complete; and (iii) accept all risks of unauthorized access if you fail to keep your information secure.

4.2 One Account Per Person

You may create and maintain only ONE account. Creating multiple accounts (“multi-accounting”) is strictly prohibited and will result in suspension or termination of all associated accounts and forfeiture of all Tokens and benefits.

4.3 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials (username and password)
• All activities that occur under your account, whether or not authorized by you
• Immediately notifying us of any unauthorized use of your account or security breach
• Logging out at the end of each session, especially on shared devices

Account Sharing Prohibited: You may not share your account with any other person. You may not allow anyone else to access your account or use it on your behalf.

4.4 Account Transfer

Accounts are non-transferable. You may not sell, trade, gift, or otherwise transfer your account or any account benefits (including Tokens) to any other person or entity.

5. USER CONDUCT AND PROHIBITED ACTIVITIES

5.1 Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree to:

• Comply with all applicable Indian laws, rules, and regulations
• Respect the rights of other users and third parties
• Use the Platform in a manner consistent with its intended esports community purpose
• Maintain respectful and sportsmanlike conduct at all times

5.2 Prohibited Conduct

You may NOT:

• Cheating and Exploitation: Use hacks, cheats, bots, exploits, bugs, glitches, or any unauthorized third-party software to gain unfair advantage in tournaments or earn Tokens
• Harassment and Abuse: Engage in harassment, bullying, hate speech, threats, intimidation, or abusive behavior toward any user, tournament organizer, sponsor, or Fragnado personnel
• Fraud and Deception: Provide false information, impersonate others, create fake accounts, engage in identity theft, or manipulate the Referral/Invite Code system
• Unlawful Content: Post, upload, or transmit content that is illegal, defamatory, obscene, pornographic, hateful, racially or ethnically objectionable, invasive of privacy, or harmful to minors
• Intellectual Property Violation: Infringe copyrights, trademarks, patents, or other intellectual property rights of Fragnado or third parties
• Platform Interference: Interfere with, disrupt, or impose unreasonable load on the Platform’s servers, networks, or infrastructure
• Unauthorized Access: Attempt to gain unauthorized access to any portion of the Platform, other users’ accounts, or computer systems or networks
• Data Mining and Scraping: Use automated systems (spiders, robots, scrapers) to access or extract data from the Platform without our express written permission
• Spam and Solicitation: Send unsolicited advertisements, spam, chain letters, or pyramid schemes
• Reverse Engineering: Reverse engineer, decompile, disassemble, or attempt to derive source code from the Platform
• Token Manipulation: Attempt to manipulate, exploit, or game the Token system through fraudulent means, including but not limited to creating fake accounts, using automated systems, or colluding with other users
• Gambling or Betting: Use the Platform to facilitate, organize, or participate in any form of gambling, betting, or wagering

5.3 Consequences of Violations

Violation of these Terms may result in:

• Warning or temporary suspension
• Permanent account termination and ban
• Forfeiture of all Tokens, rewards, and benefits without compensation
• Removal from ongoing or future tournaments
• Legal action and reporting to law enforcement authorities where applicable
• Liability for damages caused to Fragnado or third parties

6. TOKEN ECONOMY AND LOYALTY REWARDS PROGRAM

6.1 Nature of Tokens

CRITICAL DECLARATION: Fragnado Tokens (“Tokens”) are virtual loyalty points with 

• NO MONETARY VALUE: Tokens have no cash value, cannot be redeemed for money, cannot be withdrawn, and cannot be converted to any fiat or cryptocurrency
• NOT PROPERTY: Tokens do not constitute property, digital assets, securities, or any form of investment
• NON-TRANSFERABLE: Tokens cannot be sold, traded, transferred, gifted, or exchanged between users
• LOYALTY PROGRAM ONLY: Tokens function solely as part of a loyalty rewards program to enhance user experience and engagement

You acknowledge and agree that: (i) Tokens have no value outside the Platform; (ii) we may modify, suspend, or terminate the Token program at any time; (iii) Tokens expire upon account closure; and (iv) you have no legal claim to Tokens under any circumstance.

6.2 How to Earn Tokens

Users may earn Tokens through the following legitimate activities:

• Completing Tasks: Finishing profile setup, watching tutorials, completing challenges, or other platform activities
• Tournament Participation: Registering for and participating in tournaments (NOT based on winning or performance)
• Referrals: Successfully referring new users through the Invite Code system (see Section 7)
• Engagement: Daily login bonuses, community participation, content interaction
• Promotional Campaigns: Special events, seasonal bonuses, or promotional activities announced by Fragnado

Important: Tokens are NOT earned based on winning tournaments, betting, wagering, or any game of chance. All Token earning mechanisms are based purely on participation, engagement, and completion of tasks.

6.3 Optional Token Redemption for Low-Value Rewards

Token Redemption is Optional: While Tokens primarily function as an engagement score (see Section 6.4 for tier-based eligibility), users may optionally choose to redeem Tokens for certain low-value loyalty rewards, subject to availability and the terms below.

When redemption is available, Tokens may be exchanged for the following non-monetary loyalty rewards:

• Branded Merchandise: T-shirts, hoodies, caps, and other apparel or accessories featuring Fragnado or sponsor branding
• Gaming Accessories: Mouse pads, stickers, posters, keychains, wristbands, and similar low-value gaming merchandise
• Sample Products and Promotional Items: Free samples, promotional swag, and giveaway items provided by sponsors
• Digital Cosmetic Items: Profile badges, custom avatars, themes, visual customizations, and platform enhancements
• Platform Perks and Benefits: Early access to tournament registrations, priority customer support, exclusive content access, and enhanced features
• Free Tournament Entries: Entry to skill-based community tournaments and practice matches where NO monetary prizes are awarded

HIGH-VALUE ITEMS EXCLUDED: Tokens CANNOT be redeemed for high-value items including gaming consoles (PlayStation, Xbox, Nintendo), computers, laptops, premium gaming PCs, smartphones, tablets, high-end peripherals (mechanical keyboards, gaming mice, headsets), or any electronics or equipment with significant standalone market value.

Such high-value prizes may be awarded through separate mechanisms as described in Section 6.8 below.

Tokens CANNOT be used for: (i) cash withdrawal or monetary redemption of any kind; (ii) entry to tournaments offering cash prizes; (iii) transfer, sale, or gifting to other users; (iv) purchase of unbranded merchandise or items with significant resale value; or (v) any form of gambling, betting, or wagering.

6.3.1 Critical Disclaimers Regarding Token Redemption

• Redemption is Optional and Not Guaranteed: Token redemption is a discretionary feature that may be modified, suspended, or discontinued at any time without notice or compensation
• No Monetary Equivalence: Tokens do NOT have any fixed, determinable, or calculable monetary value. There is no exchange rate, conversion formula, or price list that establishes token-to-rupee equivalence
• Subject to Availability: Redemption rewards are subject to stock availability. Fragnado may substitute rewards, limit quantities, or restrict redemptions without liability
• No Obligation to Maintain Catalog: Fragnado has no obligation to maintain any specific redemption catalog, pricing structure, or reward availability
• Termination Without Compensation: If token redemption is discontinued, users will NOT be entitled to compensation, refund, or alternative value for unredeemed tokens

Recommended Approach: Users are encouraged to utilize the tier-based eligibility system (Section 6.4) as the primary reward mechanism, as it does not require spending tokens and provides more stable access to rewards.

6.4 Tier-Based Eligibility System (Alternative Reward Mechanism)

In addition to direct Token redemption, Fragnado may operate a tier-based engagement system where users become 

eligible to claim free rewards based on accumulated Token milestones, WITHOUT redeeming or spending Tokens.

6.4.1 How Tier-Based Eligibility Works

• Engagement Tiers: Users progress through engagement tiers (e.g., Bronze, Silver, Gold, Platinum) based on total Tokens accumulated
• Milestone-Based Rewards: Upon reaching specific Token milestones, users become eligible to claim designated free gifts
• Tokens Remain Intact: Claiming tier-based rewards does NOT deduct Tokens from your balance. Tokens serve as an engagement score, not a currency.
• Monthly or Periodic Resets: Token thresholds and eligibility may be calculated on a monthly, quarterly, or campaign-specific basis as announced
• Subject to Availability: Tier-based rewards are subject to stock availability and may be substituted with items of equivalent value

6.4.2 Example Tier Structure (Illustrative)

Bronze Tier: Eligible for branded t-shirt, stickers, digital badge

Silver Tier: Eligible for hoodie, mouse pad, premium avatar, early tournament access

Gold Tier: Eligible for gaming backpack, sponsor sample products, exclusive content

Platinum Tier: Eligible for premium merchandise bundle, VIP tournament invitations, priority support

Note: Tier thresholds, rewards, and structure are subject to change and will be communicated via Platform notifications. Users do not “purchase” tier rewards with Tokens; rather, they become eligible to claim free gifts as recognition of engagement.

6.4.3 Legal Clarification: Eligibility vs. Redemption

IMPORTANT DISTINCTION: 

• Token Redemption (Section 6.3): Users exchange/spend Tokens to receive specific rewards. Tokens are deducted from balance.
• Tier-Based Eligibility (Section 6.4): Users reach Token milestones and become eligible to claim free gifts. Tokens are NOT deducted; they simply measure engagement level.

Both mechanisms may operate simultaneously or independently. Fragnado reserves the right to modify, suspend, or discontinue either system at any time.

6.5 Sponsor-Activated Collective Rewards Programs

Sponsors or brands may activate promotional campaigns where users collectively earn points or engagement metrics to unlock 

free gifts, samples, or rewards related to the sponsor’s products or services.

6.5.1 How Sponsor Collective Rewards Work

• Campaign-Specific: Each sponsor campaign will have separate rules, duration, eligibility criteria, and reward structure communicated via Platform announcements
• Collective Goals: Users may participate in collective challenges (e.g., ‘All users collectively complete 10,000 tournaments to unlock sponsor rewards’)
• Individual Contributions: Rewards may be distributed to qualifying participants based on their individual engagement during the campaign period
• Point Systems: Sponsors may use Fragnado Tokens, campaign-specific points, or engagement metrics to track participation
• Free Distribution: Rewards are provided free of charge by sponsors. Users do NOT purchase, redeem currency, or pay for sponsor rewards.

CRITICAL – NO CHANCE-BASED ALLOCATION: No rewards on the Fragnado Platform are allocated through random selection, chance mechanisms, lottery-style draws, or luck-based systems. All rewards are distributed based on skill, engagement, achievement, or completion of specific tasks. Fragnado does not conduct games of chance.

6.5.2 Examples of Sponsor Collective Rewards

Example 1 – Product Samples: Energy drink sponsor activates campaign: ‘First 1,000 users who earn 200 tokens this month receive free product sample pack’

Example 2 – Collective Unlocks: Gaming peripheral brand sets goal: ‘If community collectively completes 5,000 tournaments, all active users receive discount codes’

Example 3 – Tiered Distribution: Apparel sponsor offers: ‘Top 100 contributors to collective goal receive branded merchandise; next 400 receive digital coupons’

Example 4 – Engagement-Based: Streaming service provides: ‘Users who watch sponsor content and participate in 3+ tournaments get free trial subscription’

6.5.3 Distribution and Fulfillment

Sponsor rewards are distributed through the following mechanisms:

• Digital Delivery: Discount codes, vouchers, digital content, subscriptions delivered via email or Platform notification
• Physical Delivery: Sample products, merchandise, promotional items shipped to user’s registered address by sponsor or sponsor’s fulfillment partner
• In-App Unlocks: Platform features, cosmetic items, or perks activated directly in user accounts
• Third-Party Platforms: Access to sponsor’s own platforms, services, or reward systems

6.5.4 Legal Framework and Compliance

For sponsor collective rewards programs:

• No Purchase Necessary: Participation in sponsor campaigns does NOT require purchase of sponsor products or payment of money. Rewards are based on free platform engagement.
• Sponsor Responsibility: Sponsors are responsible for providing, shipping, and fulfilling all promised rewards. Fragnado acts as a platform facilitator only.
• Separate Terms: Each sponsor campaign will have official rules, eligibility criteria, disclaimers, and terms published at campaign launch
• Tax Implications: For rewards valued above ₹10,000, winners may be required to provide PAN details for tax compliance. TDS obligations typically rest with the reward provider (sponsor or tournament organizer), but tax treatment may vary based on the structure of the specific campaign and applicable law.
• Data Sharing: Participating in sponsor campaigns may require sharing limited user data (name, contact info, shipping address) with sponsors for reward fulfillment, subject to Privacy Policy and user consent
• Modification and Termination: Sponsors reserve the right to modify or terminate campaigns. Fragnado is not liable for sponsor campaign changes or cancellations.
• Limited Availability: Sponsor rewards are subject to stock availability and may be substituted or discontinued

USER TAX RESPONSIBILITY: You are solely responsible for any and all income tax, GST, TDS, or other statutory liabilities arising from receipt of any reward, prize, gift, or benefit obtained through the Platform, whether from Fragnado, sponsors, tournament organizers, or third parties. You agree to consult your own tax advisor regarding tax obligations and to comply with all applicable tax laws. Fragnado makes no representations regarding tax treatment of any rewards.

6.5.5 User Obligations for Sponsor Rewards

To receive sponsor rewards, users must:

• Provide accurate shipping address and contact information
• Respond to reward fulfillment communications within specified timeframes
• Comply with sponsor campaign terms and eligibility requirements
• Accept that reward delivery timelines are determined by sponsors
• Acknowledge that product quality, warranty, and support are sponsor’s responsibility

6.5.6 Disclaimers

• Fragnado makes no warranties regarding sponsor rewards, including quality, merchantability, fitness for purpose, or delivery timelines
• Fragnado is not liable for sponsor failure to fulfill rewards, defective products, shipping delays, or user dissatisfaction with sponsor rewards
• Users must resolve any issues with sponsor rewards directly with the sponsor
• Participation in sponsor campaigns is voluntary and at user’s own discretion

NO BAILMENT OR CUSTODY: Fragnado does not take custody, title, possession, or bailment of any sponsor-provided goods, products, or rewards. All sponsor rewards are shipped, delivered, and owned directly by sponsors or their fulfillment partners. Fragnado has no responsibility for storage, handling, insurance, or safekeeping of sponsor goods.

6.6 Relationship Between Token Systems

Fragnado may operate multiple concurrent reward mechanisms:

• Section 6.3: Direct Token redemption (tokens exchanged for rewards)
• Section 6.4: Tier-based eligibility (tokens as engagement score, not spent)
• Section 6.5: Sponsor collective rewards (campaign-specific, sponsor-funded)

These systems may operate independently or in combination. Tokens earned through platform engagement may count toward multiple programs simultaneously (e.g., tokens can be redeemed AND contribute to tier progression AND qualify for sponsor campaigns). Fragnado reserves the right to modify how these systems interact.

6.7 Token Expiration and Forfeiture

Tokens may expire or be forfeited under the following circumstances:

• Account Closure: All Tokens immediately expire upon voluntary account deletion or involuntary account termination
• Inactivity: Tokens may expire after 12 months of account inactivity (no login)
• Violations: All Tokens are immediately forfeited if your account is suspended or terminated for violating these Terms
• Fraudulent Activity: Tokens earned through fraudulent means, exploits, or gaming the system will be revoked
• Program Changes: If we modify or discontinue the Token program, Tokens may expire with reasonable notice (see Section 6.6)

No Compensation: Expired or forfeited Tokens are lost permanently with no compensation, refund, or remedy of any kind.

6.8 High-Value Prizes and Rewards (Separate from Token Redemption)

CRITICAL: High-value prizes such as gaming consoles (PlayStation, Xbox, Nintendo Switch), computers, gaming laptops, premium gaming PCs, smartphones, tablets, high-end peripherals, and other electronics or equipment are 

NOT AVAILABLE FOR TOKEN REDEMPTION.

Such high-value prizes may be awarded through the following separate mechanisms:

• Sponsor-Funded Tournament Prizes: Prizes provided directly by tournament organizers, sponsors, or brands. Fragnado acts solely as a registration platform and intermediary. Prize fulfillment, taxation, and compliance are the responsibility of the prize provider.
• Skill-Based Promotional Campaigns: Periodic promotional contests and campaigns conducted by Fragnado or sponsors with separate official rules, terms, and conditions. Entry may be earned through platform activity such as tournament participation, engagement tasks, or skill-based challenges.
• Achievement-Based Recognition Awards: Discretionary awards recognizing exceptional skill, improvement, sportsmanship, or contributions to the esports community. Selection criteria are determined by Fragnado or sponsors at their sole discretion.
• Sponsor Marketing Campaigns: Prizes funded and provided by sponsors as part of brand campaigns, product launches, or promotional activities.

6.8.1 Important Clarifications

• No Token Conversion: High-value prizes cannot be purchased, redeemed, or obtained using Tokens under any circumstances
• Third-Party Responsibility: For sponsor-funded prizes, the sponsor or tournament organizer is responsible for prize delivery, warranty, quality, and any issues related to the prize
• Fragnado’s Limited Role: Fragnado does not manufacture, warranty, or guarantee high-value prizes. We are not liable for prize defects, delays, or non-delivery by third parties
• Separate Terms Apply: Each tournament, contest, or promotional campaign offering high-value prizes will have separate official rules, eligibility criteria, and terms that participants must review and accept
• Subject to Availability: High-value prizes are subject to stock availability and may be substituted with items of equivalent or greater value at the discretion of Fragnado or sponsors

6.8.2 Tax Compliance and Regulatory Requirements

For prizes valued above ₹10,000: Winners may be required to:

• Provide PAN (Permanent Account Number) card details for tax compliance
• Provide valid government-issued identification for winner verification
• Complete any required tax documentation as mandated by Indian tax laws
• Acknowledge that prizes may be subject to 30% TDS (Tax Deducted at Source) under Section 194B of the Income Tax Act, 1961, to be deducted by the prize provider before prize delivery or from prize value

Winners who fail to provide required documentation or comply with tax requirements may forfeit their eligibility to receive prizes.

6.8.3 Winner Verification and Eligibility

All high-value prize winners are subject to verification of:

• Age (18+ requirement)
• Account status (good standing, no violations)
• Compliance with contest/tournament rules
• Authenticity of registration and participation (no fraud, cheating, or bot activity)

Fragnado and sponsors reserve the right to disqualify any winner who fails verification, has violated these Terms, or is found to have engaged in fraudulent or prohibited activity. Prize disqualification decisions are final and binding.

6.9 Separation of Token Economy and Prize Programs

To maintain absolute clarity and legal compliance:

• The Token loyalty rewards program (Section 6) and 
• The high-value prize programs (Section 6.8) are completely separate systems with no overlap or conversion mechanism.

Tokens remain purely non-monetary loyalty points with no cash value. High-value prizes are awarded through independent mechanisms funded by sponsors, tournament organizers, or promotional budgets – not through Token redemption.

6.10 Token Balance and Tracking

Your current Token balance is displayed in your account dashboard. We maintain records of:

• Tokens earned and the source of earning
• Tokens redeemed and items/benefits received
• Token expiration dates where applicable

If you believe there is an error in your Token balance, you must notify us within 30 days of the alleged error. After 30 days, Token balances are final and cannot be disputed.

6.11 Changes to Token Program

We reserve the right to:

• Modify Token earning rates, redemption values, or available rewards at any time
• Add, remove, or change Token redemption options
• Impose limits on Token earning or redemption
• Suspend or terminate the Token program entirely with 30 days’ notice
• Investigate and reverse Token transactions if fraud or abuse is suspected

Material changes will be announced via Platform notice and email. Your continued use of the Platform after such changes constitutes acceptance.

7. INVITE CODE AND REFERRAL PROGRAM

7.1 Program Overview

Fragnado operates a referral program that allows existing users (“Referrers”) to invite new users (“Referees”) to join the Platform using unique Invite Codes. Both Referrers and Referees may earn Tokens upon successful completion of qualifying criteria.

Important: The Referral Program rewards community growth and is NOT a pyramid scheme, multi-level marketing scheme, or money-making opportunity. Tokens earned have NO monetary value and cannot be converted to cash.

7.2 Eligibility to Refer

To participate as a Referrer, you must:

• Have an active, verified Fragnado account in good standing
• Be at least 18 years of age
• Not have violated these Terms or been previously suspended
• Comply with all referral program rules and anti-spam policies

7.3 How the Referral Program Works

Step 1 – Generate Invite Code: Referrers generate a unique Invite Code from their account dashboard.

Step 2 – Share Invite Code: Referrers share their Invite Code with potential new users through personal communication (NOT through spam, unsolicited messages, or misleading advertising).

Step 3 – Referee Registers: New users (Referees) register for Fragnado using the Referrer’s Invite Code during account creation.

Step 4 – Qualifying Actions: Referral rewards are credited ONLY after the Referee completes qualifying actions (see Section 7.4).

7.4 Qualifying Criteria for Token Rewards

To earn referral Tokens, the following conditions must be met:

• Valid Registration: Referee must complete full account registration with accurate information and age verification
• Account Activation: Referee must verify email address and complete onboarding
• Minimum Activity: Referee must complete specified activities (e.g., register for first tournament, complete profile setup, engage with platform features)
• Genuine User: Referee must be a real, unique individual (not a fake account, bot, or duplicate)
• Good Standing: Both Referrer and Referee must maintain accounts in good standing without violations

Specific qualifying criteria and Token amounts are communicated in the Platform and may be updated periodically. Tokens are typically credited within 7-14 days after all qualifying criteria are met.

7.5 Referral Limits and Restrictions

• No Self-Referrals: You cannot refer yourself or create multiple accounts to claim referral rewards
• No Family/Household Abuse: Multiple accounts from the same household or IP address may be flagged and denied rewards if abuse is suspected
• Referral Caps: We may impose limits on the number of successful referrals per user per time period (e.g., maximum 10 referrals per month)
• Geographic Restrictions: Referral program may be limited to certain countries or regions
• Promotional Variations: Referral rewards may vary based on promotional campaigns, user tier, or other factors

7.6 Prohibited Referral Practices

STRICTLY PROHIBITED – The following referral practices will result in immediate disqualification and account termination:

• Spam and Unsolicited Messages: Sending spam emails, SMS, social media messages, or posting in forums/groups without permission
• Misleading Advertising: Making false promises, misrepresenting Fragnado’s services, or claiming Tokens have monetary value
• Paid Advertising Without Approval: Running paid advertisements (Google Ads, Facebook Ads, etc.) to promote Invite Codes without written permission from Fragnado
• Fake Accounts and Bots: Creating fake accounts, using bots, or employing automated systems to generate referrals
• Incentivizing Referrals: Offering monetary payments or other incentives to people to sign up using your Invite Code
• Trademark Misuse: Using Fragnado’s name, logo, or trademarks in ways that suggest official partnership or endorsement
• Collusion and Fraud: Coordinating with others to game the system, create referral rings, or engage in any fraudulent activity

7.7 Audit and Verification

We reserve the right to:

• Audit referral activity for fraud, abuse, or violations
• Request verification of referred users’ identity and activity
• Delay or deny referral rewards if suspicious activity is detected
• Revoke previously awarded Tokens if fraud is discovered retroactively
• Terminate accounts engaged in referral abuse

Our decisions regarding referral eligibility, Token awards, and account status are final and binding.

7.8 Program Modifications and Termination

We may modify, suspend, or terminate the Referral Program at any time with or without notice. Changes may include adjustments to Token rewards, qualifying criteria, referral limits, or program rules. Users will be notified of material changes via Platform announcement.

8. TOURNAMENT PARTICIPATION

8.1 Tournament Information Platform

Fragnado provides information about esports tournaments and facilitates registration. 

Important: Tournaments are organized by third-party tournament organizers, sponsors, educational institutions, or community members – NOT by Fragnado directly. We act solely as a platform connecting users with tournament opportunities.

MERCHANT OF RECORD: Fragnado is NOT the merchant of record for any tournament entry fee, registration payment, or prize transaction. All fees (if any) are set, collected, and processed solely by the tournament organizer or sponsor. Fragnado does not handle, process, or receive any tournament-related payments.

8.2 Tournament Types

The Platform may list different types of tournaments:

• Community Tournaments: Free skill-based competitions with non-monetary prizes (Tokens, badges, recognition)
• Collegiate Tournaments: Institution-specific competitions for verified students
• Sponsor-Organized Tournaments: Events organized by brands or sponsors, potentially with physical prizes (gaming gear, merchandise)
• Practice/Casual Matches: Informal competitions for skill development

8.3 Third-Party Tournament Organizers

CRITICAL DISCLAIMER: Fragnado is NOT responsible for:

• Tournament rules, format, or structure
• Prize distribution or fulfillment
• Tournament cancellations, delays, or modifications
• Disputes between participants or between participants and organizers
• Quality, accuracy, or legality of tournaments
• Any damages or losses arising from tournament participation

When you register for a tournament through Fragnado, you may be required to agree to the tournament organizer’s separate terms and conditions. You are solely responsible for reviewing and complying with such terms.

8.4 Fair Play and Anti-Cheating

All users must comply with fair play principles:

• No cheating, hacking, or use of unauthorized software
• No collusion, match-fixing, or intentionally losing games
• No exploiting bugs or glitches
• Respect tournament rules and organizer decisions

Violations may result in disqualification from tournaments and suspension from the Platform.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Fragnado’s Intellectual Property

The Platform and all content, features, and functionality (including but not limited to software, code, text, graphics, logos, icons, images, audio, video, data compilations, and the design, selection, and arrangement thereof) are owned by Acceler Edtech Private Limited or its licensors and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Limited License: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes.

9.2 Restrictions on Use

You may NOT:

• Modify, copy, distribute, transmit, display, reproduce, publish, license, or create derivative works from any content on the Platform
• Use any Fragnado trademarks, logos, or branding without written permission
• Reverse engineer, decompile, or disassemble any software or technology on the Platform
• Frame or mirror any part of the Platform without written authorization

9.3 User-Generated Content

If you post, upload, or submit content to the Platform (comments, reviews, profile information, etc.), you:

• Retain ownership of your content
• Grant Fragnado a worldwide, non-exclusive, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content
• Represent that you own or have rights to the content and that it does not violate any third-party rights
• Acknowledge that we may remove any content that violates these Terms without notice

10. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Platform, you acknowledge that you have read and understood our Privacy Policy and consent to the collection, processing, and use of your personal data as described therein, in compliance with the Digital Personal Data Protection Act, 2023.

11. DISCLAIMERS AND WARRANTIES

11.1 Platform “As-Is”

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11.2 No Guarantee of Availability

We do not guarantee that the Platform will always be available, accessible, or function without disruptions, delays, or errors. We may suspend, modify, or discontinue any part of the Platform at any time without notice.

11.3 Third-Party Content

We are not responsible for the accuracy, completeness, legality, or quality of third-party content (including tournament information, sponsor content, user-generated content, or external links). You access third-party content at your own risk.

11.4 No Professional Advice

Information on the Platform is for informational purposes only and does not constitute professional, legal, financial, or medical advice. You should consult appropriate professionals for specific advice.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY INDIAN LAW:

ACCELER EDTECH PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED INR 1,000 (ONE THOUSAND RUPEES) OR THE AMOUNT YOU HAVE PAID TO US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

This limitation applies to claims based on warranty, contract, tort, strict liability, or any other legal theory, and whether or not we have been informed of the possibility of such damage.

You agree to indemnify, defend, and hold harmless Acceler Edtech Private Limited, its affiliates, and their respective directors, officers, employees, agents, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

• Your use or misuse of the Platform
• Your violation of these Terms
• Your violation of any rights of third parties
• Your content or conduct on the Platform
• Your participation in tournaments or interactions with third parties through the Platform

14. TERMINATION

14.1 Termination by You

You may terminate your account at any time by using the account deletion feature in the Platform or by contacting our support team. Upon termination, all Tokens and benefits will be forfeited immediately.

14.2 Termination by Us

We may suspend or terminate your account and access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Discovery that you are under 18 years of age
• Extended inactivity
• Legal or regulatory requirements

14.3 Effect of Termination

Upon termination:

• Your right to access and use the Platform ceases immediately
• All Tokens, rewards, and benefits are forfeited
• We may delete your account and data in accordance with our Privacy Policy
• Sections that by their nature should survive termination (including Sections 9, 11, 12, 13, 16, and 17) will continue to apply

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. You agree to comply with all applicable laws, including the Information Technology Act, 2000, Digital Personal Data Protection Act, 2023, Promotion and Regulation of Online Gaming Act, 2025, and Consumer Protection Act, 2019.

15.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India. You irrevocably consent to the jurisdiction and venue of such courts.

16. CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Material changes will be communicated via:

• Update to the “Last Updated” date at the top of these Terms

Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and may delete your account.

17. MISCELLANEOUS PROVISIONS

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Acceler Edtech Private Limited regarding the Platform and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to reflect the parties’ intention to the maximum extent permitted by law.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Fragnado.

17.4 Assignment

You may not assign or transfer these Terms or your account to any other person or entity. We may assign these Terms to any affiliate or successor entity without your consent.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, pandemics, government actions, internet failures, or telecommunications failures.

17.6 Language

These Terms are written in English. Any translations are provided for convenience only. In the event of any conflict, the English version shall prevail.
